Introduction

These Terms and Conditions ("Terms") form a legally binding agreement between you and SmileSync.app ("we", "us", "our"). SmileSync.app operates the web application and related services available at SmileSync.app. By accessing or using SmileSync.app, you agree to be bound by these Terms.

Scope and Applicability

These Terms apply if you: (a) register on SmileSync.app as a medical practitioner (including doctors, dentists, or authorized staff), (b) access SmileSync.app and/or use the services offered, and (c) are at least 18 years of age and legally capable of entering into a binding contract.

Account and Profile

To use SmileSync.app, you must create and maintain an account. You are responsible for keeping your login credentials confidential and for all activity under your account. You agree to provide accurate, current, and complete information, including professional credentials such as license and registration numbers where applicable, and to promptly update this information.

You shall not outsource or transfer your account or services rendered via SmileSync.app to any third party. Any unauthorized access, sharing, or misuse may result in suspension or termination of your account.

Use of Services

SmileSync.app provides tools to interact with patients, manage profiles, and track treatments. The services may change from time to time at our sole discretion. You agree to review these Terms periodically and acknowledge that continued use constitutes acceptance of any updates.

Subscriptions and Payments

SmileSync.app may offer subscription plans. We may use third‑party payment gateways to process payments. We are not responsible for failed transactions; refunds for failed transactions, if any, will be governed by the payment gateway’s policies. Unless stated otherwise, subscription fees are non‑refundable. You may not share a single paid subscription among multiple users or otherwise misuse plan features; doing so may lead to account termination.

Fees Charged to Patients

SmileSync.app is not a party to and does not control fees charged by you to patients. Any commercial arrangement between you and a patient is separate from SmileSync.app. You agree not to hold SmileSync.app responsible for any non‑payment or dispute between you and a patient.

Professional Obligations

You represent and warrant that you are duly licensed to practice in your jurisdiction and that your license is current and valid. It is your sole responsibility to maintain required licenses and comply with all applicable laws and professional standards. If your license lapses or becomes invalid, you must stop using SmileSync.app to render services until compliance is restored.

Privacy and Data Protection

You must handle patient information in compliance with applicable privacy and data protection laws. Do not upload or share information unless you have appropriate consent or lawful basis. You are responsible for safeguarding data accessed through SmileSync.app. Our processing of personal data is subject to our privacy practices.

Acceptable Use

You shall not: (a) engage in unlawful, misleading, or harmful activities; (b) attempt to probe, scan, or test the vulnerability of any system or network; (c) interfere with other users’ access; (d) reverse engineer, decompile, or modify SmileSync.app; or (e) upload malware or content that infringes rights of others.

Intellectual Property

SmileSync.app and all related content, trademarks, and materials are owned or licensed by us. Except for the limited rights expressly granted hereunder, no rights are transferred to you. You may not copy, distribute, or create derivative works from SmileSync.app without prior written consent.

Third‑Party Services

SmileSync.app may integrate or rely on third‑party services (including payment gateways). We are not responsible for third‑party acts or omissions. Your use of third‑party services may be subject to their terms.

Disclaimers

SmileSync.app is provided on an “as is” and “as available” basis. We do not warrant uninterrupted or error‑free operation. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy, and non‑infringement.

Limitation of Liability

To the fullest extent permitted by law, SmileSync.app shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to your use of SmileSync.app, even if advised of the possibility of such damages. Our aggregate liability under these Terms will not exceed the amounts you paid to SmileSync.app in the twelve (12) months preceding the claim.

Indemnity

You agree to indemnify and hold harmless SmileSync.app from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of SmileSync.app, your breach of these Terms, or your violation of applicable laws or third‑party rights.

Suspension and Termination

We may suspend or terminate your access to SmileSync.app at our discretion, including for violations of these Terms, suspected fraud, security risks, or legal compliance reasons. Upon termination, your right to use SmileSync.app ceases immediately.

Changes to Terms

We may update these Terms from time to time. The updated Terms will be effective when posted. Your continued use of SmileSync.app after changes become effective constitutes acceptance of the updated Terms.

Governing Law and Dispute Resolution

These Terms are governed by the laws applicable in your jurisdiction of residence or practice, unless otherwise required by local law. Any disputes will be resolved exclusively by the competent courts of that jurisdiction, unless applicable law mandates a different forum.
